企業社會責任績效對財報重編事件與市場反應的影響

本研究目的在探討企業社會責任的角色對公司財報重編事件與公司市場反應的影響。財報重編事件的發生會使投資人對公司會計實務產生懷疑，進而造成市場的負向反應；而企業社會責任表現的優劣會使投資人對公司財報重編的事件有不同的反應 ，故本研究檢定公司不同企業社會責任表現，在財報重編事件中對市場的負向關係造成的影響。本研究以 2008 年至 2020 年間之台灣上市上櫃公司中發生財報重編事件者為研究對象，扣除相關變數資料不全者，共309筆資料。首先，本研究以事件研究法探討「財報重編事件」的市場反應，結果確認財報重編事件在市場上會有顯著負向的異常報酬與累積異常報酬。接著本研究以公司的社會貢獻值、資產的
社會報酬率與每股社會貢獻值來做為企業社會責任績效的代理變數並與財報重編事件發生後第二日與第三日的平均異常報酬進行多元迴歸，結果顯示企業社會責任績效表現愈佳的公司，在財報重編事件中，會使負的市場反應則會有所趨緩。

The question "Who lost China?" has provoked political vituperation and academic controversy ever since the Chinese Communists drove the Nationalist regime of Chiang Kai-shek off the mainland in 1949. In this study based on a wide array of hitherto unused documentary sources, the author delves deeply

the army during the wars against Japan and the Communists, the failure of the Gold Y an currency reform of late 1948, and finally, Chiang Kai-shek's own assessment of his army and the civilian branches of his regime during the final phases of the war.
所得稅扣繳法制之研究

賦稅收入既然作為國家推動政務所需，及維繫整體社會結構的重要財政工具，國家必定會採取多樣化的制度和手段，使稅收能夠完整的進入國庫，其中所得稅占比位居各類稅收項目之首，營利事業所得稅及綜合所得稅與每位國民息息相關，使得稅務事件具有龐大紛雜的特徵，而國家是否能妥善的徵起所得稅更具關鍵性。此時稽徵經濟即作為稅捐徵收的重要指標之一，因此創設就源扣繳制度，使不具公法上職務關係之第三人，於具備租稅法上的責任要件時，須自自付與納稅義務人之所得中扣取一部分的稅款，向稽徵機關繳納，而後填報單據，使稽徵機關及納稅義務人知悉的行為義務，具有便宜稅務人員徵收程序，使國家及時獲取稅收，便利國庫資金調度，及確實掌握課
稅資料，維護稅捐債權的公益目的。 惟因此負擔義務的扣繳義務人，不可謂對其無造成一定程度上的限制和侵害，因此應檢視所得稅法的就源扣繳制度是否具有合理正當性，課予私人扣繳義務能否通過憲法架構下的違憲審查，在立法者享有立法形成自由的同時，保障人民之基本權，避免制定與稅捐正義有所牴觸之立法，以有效實踐納稅者之權利保護，並彰顯人權保障為憲法之最高價值。 並藉由分析扣繳制度相關的法律規定，釐清當事人間形成的法律關係態樣，及扣繳義務人的法律性質，找出現今制度的缺失及漏洞，不只顯現在扣繳主體的擇定上，乃至於法律效果部分的違章處罰皆產生爭議，使稽徵機關無法達成責罰之目的，損害扣繳制度的健全，存在稅捐法律關係
中的當事人亦無所適從。因此本文針對缺失提出看法，並依序列出修法建議，希冀國家能遵守協力義務的界線，在稽徵經濟和維護納稅者基本權的天秤中取得平衡。
